                ARC International PLC ("the Company")

Mourant & Co. Trustees Limited, as the trustees of the ARC
International PLC Employee Benefit Trust, has not changed its holding
of 5,992,099 ordinary shares. However, as a result of the reduction in
the issued share capital arising from the recent tender offer this now
represents 4.19 % of the issued share capital.

The EBT is a discretionary trust of which all employees or former
employees of the Company and its subsidiaries are potential
beneficiaries. The Company's Directors are therefore deemed to be
interested in the shares held by the EBT from time to time in the same
way as other employees or former employees of the Company and its
subsidiaries.
