                            Directors' shareholdings

Following the initial redemption on 14 January 2008 of the Company's redeemable
non-cumulative preference shares of 22.4p each ('B Shares') that were issued in
relation to the return of capital announced in November 2007, the following are
the only remaining B Shares in which Amlin's Directors and/or their spouses have
an interest:

The B Shares held in the Company's Share Incentive Plan on behalf of each of the
executive Directors (the three above plus Mr B D Carpenter) were elected to
receive the initial B Share dividend and were then converted into deferred
shares which were then redeemed. The interests in such shares of Messrs Hextall,
Holt and Philipps are accordingly included in the 'Previous interests in B
Shares' and 'Redeemed' figures in the above table.

None of the other B Shares held by Amlin's Directors and/or their spouses were
the subject of any elections and accordingly they were redeemed by default on 14
January 2008 in accordance with the terms of the B Shares.
