Issue of B Shares and Consolidation of Existing Ordinary Shares
On 14 November 2007, Amlin plc ('Amlin') announced its intention to return
approximately £120 million of capital to shareholders (the 'Return of Capital'),
subject to shareholder approval, by way of a B share issue combined with a
consolidation of Amlin's existing ordinary shares on the basis of 8 new ordinary
shares for 9 existing ordinary shares.
On 12 December 2007, Amlin announced that the shareholders had approved the
Return of Capital at the Extraordinary General Meeting of Amlin held that day.
A total of 537,464,619 B shares were issued today, following which 537,464,619
existing issued ordinary shares were consolidated into 477,746,328 new ordinary
shares.
Amlin's ordinary shares have today been amended on the Official List maintained
by the Financial Services Authority and the new ordinary shares have commenced
trading on the London Stock Exchange plc's main market for listed securities.
