Centrica plc - Directors' and other PDMRs' share interests

Centrica announces the following transactions in respect of its ordinary share
capital of 6 14/81 pence each by Executive Directors and/or other Persons
Discharging Managerial Responsibility (PDMRs).

Release and sale of shares from the Long Term Incentive Scheme (LTIS)

On 6 April 2006, a total of 6,774,177 Centrica ordinary shares of 6 14/81 pence
each in respect of awards made under the terms of the LTIS in April 2003 were
transferred to participants, including four Executive Directors and four other
Persons Discharging Managerial Responsibility (PDMRs). These awards, which were
subject to performance conditions*, were released by the trustee of the LTIS
following the completion of the three-year performance period.

* The performance condition for the LTIS is linked to the Company's total
shareholder return (TSR) relative to the returns of its FTSE 100 comparator
group. The maximum award only vests if the Company's TSR over the performance
period is ranked in 25th position or above of the 100 companies in the LTIS
comparator group. For the award made in 2003, at the conclusion of the
performance period on 31 March 2006, the Company was ranked in fortieth position
in the LTIS comparator group and, accordingly, 75% of the award was
transferable.

On release, participants are liable to pay income tax at their marginal rate and
National Insurance contributions at 1% on the value of the shares. Accordingly,
the Executive Directors and other PDMRs sold shares (41%) to meet these
liabilities. The shares were sold at 284.8p on 6 April 2006.

In addition, Sir Roy Gardner sold 177,810 shares being the balance of the 2003
allocation at 281.25p on 11 April 2006. The specific details of the release and
disposals relating to the Executive Directors and other PDMRs are as follows:

Following this release, the LTIS trust, in which the Executive Directors and
other PDMRs along with other Centrica group employees have a potential interest,
holds no shares.

Exercise of Executive Share Option Scheme (ESOS) and sale of shares

Deryk King exercised 277,489 executive share options at an option price of 146.6
pence per share on 10 April 2006. All shares were sold upon exercise at a price
of 285.25 pence each.

Chris Weston exercised 100,088 and 53,478 executive share options at option
prices of 2.248 pence and 146.6 pence per share respectively on 11 April 2006.
28,271 shares were retained with the balance of shares sold upon exercise at a
price of 283.00 pence each.

Grant of Sharesave Options

Options were granted at an option price of 238 pence per share to Anne Minto and
Chris Weston under the terms of the Centrica Sharesave scheme on 10 April 2006.
Each were granted an option over 3,928 shares which will be exercisable between
1 June 2009 and 30 November 2009.

Following the LTIS release, the exercise of ESOS, the sale of shares and the
grant of Sharesave options, the Executive Directors and other PDMRs retain an
interest in the share capital of Centrica as follows:
