Notification of Director's Interest in Shares

In accordance with the requirements of Chapter 3.1.4 R of the Disclosure and Transparency Rules, Centrica plc announces that on 4 March 2011, each of the following Directors of the Company acquired 5,000 Centrica plc ordinary shares of 6¹⁴/₈₁ pence (“Shares”):

• Margherita Della Valle; and
• Ian Meakins.

The acquisition of the Shares represents less than 0.001% of the Company’s issued share capital.

In respect of each transaction, the Shares were acquired at 339.5293 pence per Share. Following this transaction, the total interest for each of Margherita Della Valle and Ian Meakins is 5,000 Shares (less than 0.001% of the Company’s issued share capital).

The Company was notified of the transaction, which took place in London, on 4 March 2011.
