The following transactions took place in London and are in respect of Centrica plc ordinary shares of 6^14/81pence (Shares).

Exercise of Options and Sale of Shares from Existing Shareholding

The Company announces that on 15 May 2014, the following share options were exercised by its Executive Directors and other Persons Discharging Managerial Responsibility (PDMRs):

The share options exercised by Chris Weston were market value options that were originally granted under the Executive Share Option Scheme in 2005 and 2006. The share options exercised by the other Executive Directors and PDMRs were Deferred and Matching Share Scheme (DMSS) matching and Long Term Incentive Scheme (LTIS) nil cost options that vested in April 2013 following achievement of the performance conditions. The nil cost options were originally granted in 2010.

The Shares were sold at a price of 325.82 pence per Share.

Also on 15 May, Chris Weston sold 100,000 Shares from his personal shareholding and Jill Shedden sold 10,000 Shares from her personal shareholding. These sales were carried out at a price of 327.95 pence per Share.

Following the exercise of options, Grant Dawson transferred 25,000 Shares by way of a gift to his wife, Kathleen Dawson.
