Directors' Shareholding

Centrica plc (the 'Company') announces that:

(1) Phil Bentley has acquired under the Centrica Dividend Reinvestment Plan (the
'DRIP') 12,872 ordinary shares on 17 November 2004 at a price of 243.4 pence in
respect of the interim and special dividends paid on 17 November 2004; and

(2) Hill Samuel ESOP Trustees Limited (the 'Trustee'), as Trustee of the
Centrica Share Incentive Plan (the 'Plan'), purchased 219 ordinary shares in the
Company at a price of 242 pence on behalf of Phil Bentley under the Plan's
Dividend Share scheme on 17 November 2004.

As a result of the above transactions, Phil Bentley's interest in the Company's
ordinary share capital (excluding options and awards under the Company's
long-term incentive scheme) is 176,567 shares.
