Stock Exchange for the listing of 1,149,756 Common Stock of $0.06 each fully
paid, ranking pari passu with the existing Common Stock, to the Official List.

The shares are being listed so that the number of shares of Common Stock
approved for listing is equal on the New York Stock Exchange and on the Official
List of the UK Listing Authority and is consistent with the number of shares
that have been issued.
