Purchase of Ordinary Shares

Keydata AIM VCT Plc (the “Company”) has announced that, pursuant to a special resolution passed by the shareholders of the Company on 19 May 2009, it has purchased 5,076,447 ordinary shares of 10p each in the Company at a price of 52 pence per ordinary share on 29 May 2009. Of the shares purchased, 2,711,134 will be held by the Company as treasury shares and 2,365,313 ordinary shares will be cancelled.

Following the above purchase, the Company holds 2,711,134 ordinary shares in treasury. The total number of ordinary shares in the Company in issue (excluding shares held as treasury shares) is 27,111,349.

As at close of business on 31 May 2009, the unaudited Net Asset Value (NAV) for Keydata AIM VCT plc was as follows:
