The US Federal Trade Commission Makes Early Ruling
JLT Shareholder Meeting Set for November 7
US Antitrust Approval Granted for Marsh & McLennan’s Acquisition of Jardine Lloyd Thompson Group plc

Marsh & McLennan Companies, Inc. (NYSE: MMC) and Jardine Lloyd Thompson Group plc (JLT) today confirmed that, on October 10, the Federal Trade Commission (FTC) granted an early termination of the waiting period under the Hart-Scott-Rodino Act with respect to MMC's previously announced acquisition of JLT (the “Acquisitionâ€). Termination of the HSR waiting period effectively concludes the competition review of both the FTC and Department of Justice and satisfies an important condition to the closing of the Acquisition. The Acquisition remains subject to additional required antitrust and regulatory approvals as well as the approval of JLT shareholders.
Additionally, Marsh & McLennan and JLT announced today that the scheme document (“Schemeâ€), which contains the full terms and conditions of the Acquisition, has been published and posted for JLT Shareholders. A General Meeting of JLT shareholders will be held at 10:00 a.m. on November 7, 2018 at The St. Botolph Building (138 Houndsditch, London EC3A 7AW) for the purpose of obtaining shareholder approval of the Scheme under Part 26 of the U.K. Companies Act 2006. The Scheme is also subject to the satisfaction or waiver of the conditions and further terms that are set out in the Scheme.
