Next Fifteen acquires remaining shares in digital agency Bourne

Next Fifteen Communications Group plc (“Next Fifteen” or the “Company”), a worldwide digital marketing communications group, announces the acquisition of the remaining 20% minority interest in CMG Worldwide Limited, trading as Bourne, a global, full-service digital agency with offices in Glasgow, London and New York. As previously announced, Next Fifteen acquired 80% of the shares of Bourne on 12 May 2011.

Bourne provides high value, strategic planning services across all digital channels. It is headquartered in Glasgow and has clients that include: Dell, Ricoh, Lumesse and Symantec.

The move gives Next Fifteen 100% ownership of Bourne under a revision to the original terms. The initial consideration for the 80% share purchase in May 2011 was £1.95 million satisfied in cash. Under the revised terms a further cash payment of £1.9 million will be paid, split between £380,000 payable in January 2013 and the balance of £1.52 million paid in October 2014. This will satisfy, in full, the consideration due on the acquisition of the initial 80% of Bourne.

In exchange for the remaining 20% holding in Bourne, Next Fifteen will today issue 309,279 new ordinary shares in the Company (“New Ordinary Shares”), with a restriction that the shares cannot be sold or transferred before 31 October 2016 and will enter into Performance Share awards over a further 1.35 million Next Fifteen shares, with vesting being subject to profit-related performance conditions through to July 2017.

Accordingly, application has been made to the London Stock Exchange for the New Ordinary Shares to be admitted to AIM and it is expected that admission will take place on 12 April 2012. Following the issue and allotment of the New Ordinary Shares as described above, the Company will have 57,763,671 ordinary shares in issue. No ordinary shares are held in treasury.
