Results of Annual General Meeting
Next Fifteen Communications Group plc, the data and technology-driven marketing group, announces that at its Annual General Meeting held at 4.30pm on 26 June 2019 at 75 Bermondsey Street, London SE1 3XF, all resolutions set out in the Notice of Annual General Meeting dated 16 April 2019 were duly passed by shareholders by means of a poll vote. A summary of the resolutions passed and details of the proxy votes received are detailed below.
As at 24 June 2019, being the AGM voting record date, the Company’s issued share capital (“ISCâ€) consisted of 85,181,091 ordinary shares of 2.5p each (“Ordinary Sharesâ€). No Ordinary Shares are held in treasury. Shareholders are entitled to one vote per share. A vote withheld is not a vote in law and is not counted in the calculation of the proportion of votes validly cast. Resolutions 1 to 8 were Ordinary Resolutions and Resolutions 9 to 11 were Special Resolutions.
