grants of awards of performance shares to directors under its Long-Term
Incentive Plan.

On 22 October 2008 the Company granted the following performance share awards
under the Next Fifteen Communications Group plc Long-Term Incentive Plan for

The awards will vest in October 2011 provided that certain performance criteria
based on the Company's adjusted-earnings-per-share growth over three consecutive
financial years, commencing with the current financial year, are met.

No consideration is payable on the grant or vesting of an award.
