Next Fifteen Communications Group plc ("Next Fifteen" or the "Company")
announces that 1,179,446 new ordinary shares of 2.5 pence each ("Ordinary
Shares") have been allotted pursuant to the Company's announcement of 19 July
2005 concerning the offer (the "Offer") to buy the 19.76 per cent. minority
interest not already under its control in its subsidiary business Bite
Communications Group Limited ("Bite").
Valid acceptances of the Offer have been received in respect of a total of
4,284,169 Bite Shares, representing approximately 17.5 per cent. of the issued
share capital of Bite.
Key Bite employee shareholders were offered 50% of their total consideration
under the Offer in Next Fifteen shares, resulting in the issue of 1,179,446 new
Ordinary Shares, representing 2.4% of the issued share capital of the Company.
Application has been made to the London Stock Exchange for the new Ordinary
Shares to be admitted to AIM and it is expected that admission will take place
on 16 August 2005.
