Voting Rights and Capital

In conformity with the Transparency Directive, Octopus Titan VCT 2 plc notifies
the market of the following:

Octopus Titan VCT 2 plc's capital consists of 15,279,889 ordinary shares with a
nominal value of 10 pence each, with voting rights. Octopus Titan VCT 2 plc does
not hold any shares in Treasury.

Therefore, the total number of voting rights in Octopus Titan VCT 2 plc is
15,279,889.

The figure of 15,279,889 may be used by shareholders as the denominator for the
calculations by which they will determine if they are required to notify their
interest in, or a change to their interest in, Octopus Titan VCT 2 plc under the
FSA's Disclosure and Transparency Rules.
