SJP was notified on 26 February 2015 of the following changes in SJP shares held by the executive Directors and PDMR named below.
Exercise of share options and sale of shares
On 26 February 2015 Chief Financial Officer Mr Andrew Croft notified SJP that on 26 February 2015, a Connected Person* carried out the following transactions:
i) Exercised an option over 13,333 SJP shares granted on 8 March 2012 under the SJP Partner Performance Share Plan at an exercise price of £0.15p per share, acquiring on exercise 13,333 ordinary SJP shares, which were sold on 26 February 2015 at a price of 9.382p per share.
ii) Exercised an option over 15,000 SJP shares granted on 27 July 2006 under the SJP Partner Share Option Scheme at an exercise price of £3.28 per share, acquiring on exercise 15,000 ordinary SJP shares, which have been retained.
Following the above transactions, Mr Croft holds 800,980 SJP shares (including the SJP shares held by Connected Persons).
On 26 February 2015, PDMR Mr Tony Dunk notified the Company that on 26 February 2015, Mr Dunk exercised an option over 26,666 SJP shares granted on 2 March 2005 under the Executive Share Option Plan at an exercise price of £2.42, acquiring a total of 26,666 SJP shares, which he sold on 26 February 2015 at a price of 9.382p per share.
Following the above transactions, Mr Dunk holds 396,025 SJP shares.
Holdings in shares
On 27 November 2013, SJP notified the market of a transfer by way of gift of 50,000 SJP shares on 27 November 2013 by Chief Executive Officer, Mr David Bellamy, to the Bellamy Charitable Trust (the “Trustâ€). However, the announcement stated that Mr Bellamy and certain family members were trustees of the Trust and that the shares were to be held on a non-beneficial basis by Mr Bellamy. On 26 February 2015, Mr Bellamy advised SJP that neither he nor any members of his family are trustees of the Trust, and that none of the shares held in the Trust are held on his behalf on either a beneficial or a non-beneficial basis. Mr Bellamy therefore holds 50,000 fewer shares than that stated in the announcement made on 27 November 2013. As at 26 February 2015, the said 50,000 shares continue to be held within the Trust, to be used in due course at the discretion of the Trustees for charitable purposes.
Following the above notification, Mr Bellamy holds 1,241,838 SJP shares.
The above transactions took place on the London Stock Exchange.
