Notification of transactions by Persons Discharging Managerial Responsibilities
Tate & Lyle PLC (the ‘Company’) announces that on 4 June 2018 the following transactions occurred by Persons Discharging Managerial Responsibilities (“PDMRâ€) in respect of their interests in ordinary shares of 25 pence each in the capital of the Company (‘Shares’) under the Tate & Lyle Group Bonus Plan (‘GBP’), the 2012 Performance Share Plan (‘PSP’) and the 2016 Conditional Share Award plan (‘CSA’).
Following the withholding of Shares to satisfy certain tax obligations arising on the release of Shares, the PDMR’s interests in Shares changed as detailed in the table below:

For tax purposes, the market value of the Shares, being the average of the two close prices on the date of the transaction, was 681.80 pence per Share.
No consideration was paid for the acquisition of these Shares.
Awards were made under the GBP in 2016 and were subject to the satisfaction of employment conditions. Details of the operation of the GBP are contained within the Annual Report 2016.
Awards made under the PSP are subject to the satisfaction of performance conditions over a three year performance period, which in this case ran from 1 April 2015 to 31 March 2018.
Awards made under the CSA were subject to certain Company-based financial performance criteria satisfied over a performance period which ran from 1 April 2016 to 31 March 2017. The Awards were further subject to a 12-month deferral period and continued employment to 31 March 2018.
The notifications below, which have been made in accordance with the requirements of the EU Market Abuse Regulation, provide further detail.
