Tate & Lyle PLC was informed on 23 January 2004 that Barclays PLC and its
subsidiaries are holding 23,363,804 ordinary shares in Tate & Lyle PLC in which
they have a material interest, which is a notifiable interest under Section 199
of the Companies Act 1985, being 4.84 per cent. of the nominal value of the
relevant share capital.

Barclays PLC had previously reported on 17 December 2003 holding 28,329,898
ordinary shares in Tate & Lyle PLC in which they had a material interest which
was then 5.87 per cent. of the nominal value of the relevant share capital.
