Transaction in Own Shares

Tate & Lyle PLC ('the Company') announces that on 23 May 2008 it transferred
154,575 ordinary shares in the Company for the purpose of satisfying exercises
under the 2003 Performance Share Plan. These shares were previously held in
Treasury.

Following the above transfer, the Company holds 1,891,017 ordinary shares in
treasury and has 458,040,855 ordinary shares in issue (excluding treasury
shares).
