Bovis Homes Group PLC - Management Succession
The Board of Bovis Homes Group PLC ('the Group') is pleased to announce new
appointments in accordance with its management succession planning.
Malcolm Harris (59) is to retire as Chief Executive on 2 July 2008, after 12
years in the post, and will take over from Tim Melville-Ross as non-executive
Chairman with effect from 3 July 2008. Tim Melville-Ross will retire from the
Board and the Board recognises the significant contribution that Tim has made
over the past eleven years. In accordance with the provisions of the Combined
Code a consultation with major shareholders has taken place on the appointment
of Malcolm Harris as non-executive Chairman, with a positive and supportive
outcome. As background to the appointment, the Board considered the depth of his
knowledge and experience, recognised in the shareholder consultation, in
addition to his outstanding track record and the Board concluded that
shareholders would benefit from his continued contribution and involvement with
the Group.
David Ritchie (38), who was appointed Group Managing Director on 2 January 2007
and had been Group Finance Director since 2002, has been appointed Chief
Executive with effect from 3 July 2008. David Ritchie has a strong track record
of achievement since his appointment as a director in 2002. He has had close
involvement in all aspects of the Group's strategy and operations and has
recently successfully concluded the acquisition of Elite Homes Group Limited.
In addition to the appointment of the new Chairman and Chief Executive, the
Board has decided to strengthen its capabilities with the appointment of an
external independent non-executive Deputy Chairman, who will also undertake the
role of Senior Independent Director currently held by John Warren, and a further
announcement will be made in due course.
Tim Melville-Ross, Chairman said:
'I am delighted that Malcolm Harris will be succeeding me as Chairman. He has
already made a massive contribution to the Group, and as Chairman he will be
able to contribute from his great experience to continuing growth in shareholder
value.'
Malcolm Harris, Chief Executive said:
'I am pleased to be handing the role of Chief Executive over to an able and
respected colleague who has significant capabilities and has made a strong
contribution towards the Group's success to date and, looking forward, I am
confident that the business will expand and prosper under his leadership.'
Bovis Homes Limited has recently appointed three new Regional Managing
Directors, Mark Lewis (Eastern Region), Malcolm Pink (South West Region) and
David Shard (Northern Region). These appointments have strengthened senior
management and added to management succession options. In the future, the
position of Group Managing Director will cease to exist and David Ritchie will
be supported as Chief Executive by newly created Regional Chairman positions
which will have the Regional Managing Directors as direct reports, again
strengthening the senior management structure.
