Director Shareholding

The Company announces that, following the completion of the Scheme of
Reconstruction of KHSFC Ltd on 16 April 2002, Mrs Margaret Simmons-Hodge, a
Director of the Company, has been issued with 262,551 Ordinary 1p shares in the
Company. As a result, Mrs Simmons-Hodge is deemed to have an interest in a
total of 262,551 Ordinary 1p shares in the Company (representing 2.01% of the
issued share capital of the Company).
