The company was informed yesterday that under the terms of the Bellway plc
Employee Share Trust (1992) (an arrangement to reward directors and employees)
127,239 Bellway plc 12.5p ordinary shares were transferred yesterday to the
following directors for a consideration of £2 per director under the terms of
the following arrangements:

Immediately thereafter, 127,239 Bellway plc 12.5p ordinary shares were sold at
a price of 766.7475p per share as follows:

Following the above transactions, the number of Bellway plc 12.5p ordinary
shares which are beneficially held by each of the directors concerned is as

In addition, the total number of shares held in the Bellway plc Employee Share
Trust (1992) is nil.
Under the terms of the Bellway plc (2003) Deferred Bonus Plan, the executive
directors have a beneficial interest in nil (0.00%) (42,857; 0.04%) ordinary
shares held under the terms of the Trust.
Under the terms of the Bellway plc (2004) Performance Share Plan, the executive
directors have a potential beneficial interest in up to 525,950 (0.44%)
(605,562; 0.50%) shares held under the terms of the Trust.
In addition, each Bellway executive director has a potential further beneficial
interest in up to nil (0.0%) (nil; 0.0%) shares held in the Trust.
For the Trust, a Linking Agreement is in place between the Company and the
Trustees of the Trust to ensure that obligations are met as they arise.
The other interests of the directors remain unchanged.
