The Berkeley Group Holdings plc (`the Company')                

                             Director Shareholding                             

The Company was notified on 7 July 2008 that on 7 July 2008 117,941 ordinary
shares of 25p in the Company were acquired by Kleinwort Benson (Jersey)
Trustees Limited as trustees of The Berkeley Group Employee Benefit Trust in
connection with The Berkeley Group Holdings plc 2004 (b) Long Term Executive
Incentive Plan. The shares were acquired at 615.8545p per share.

Following the purchase of shares, each director's interest has technically
increased by the number of shares acquired by the trust which does not relate
to his own award. Each Executive Director therefore has a technical interest in
all of the 117,941 shares acquired.

Note: For Companies Act purposes, The Executive Directors of The Berkeley Group
Holdings plc, together with all employees of the Company, are deemed to have a
technical interest in the shares held in The Berkeley Group's Employee Benefit
Trust. The interest ceases when shares are transferred to individuals on the
share vesting date.
