Annual General Meeting

The board of The Throgmorton Trust PLC announces that the resolutions set out
in the notice of Annual General Meeting dated 24 February 2006 were all passed
at the meeting held today, including special resolutions authorising the
Company to allot securities and to make market purchases of its Ordinary
Shares.

As advised in the preliminary announcement of the Company's final results for
the year ended 30 November 2005, Sir Victor Garland has retired as a director
with effect from today's date.
