Voting Rights and Capital
In conformity with the Transparency Directive we would like to notify the
market of the following:
As at 29 July 2010, The Throgmorton Trust PLC's capital consists of 58,355,792
Ordinary Shares of 5 pence each, carrying one vote each and 14,774,534
Subscription Shares of 1 penny each with no voting rights (although these
shares are considered "qualifying financial instruments" in accordance with the
revised DTR 5). The Company also holds 7,400,000 ordinary shares in treasury.
As at 29 July 2010, the total number of voting rights for Ordinary shareholders
in The Throgmorton Trust PLC is 58,355,792.
The above figure (58,355,792) may be used by shareholders as the denominator
for the calculations by which they will determine if they are required to
notify their interest in, or a change to, their interest in The Throgmorton
Trust PLC under the FSA's Disclosure and Transparency Rules.
