Lonmodtagernes Dyrtidsfond ('LD Pensions'), the Danish State Pension Fund,
notified the company on 28 January 2004 that it had increased its material
interest to a holding of 14,029,660 shares of Bodycote International plc
representing 5.47% of Bodycote's issued share capital.

Standard Life Investments Limited (on behalf of itself and Standard Life Group)
notified the company on 29 January 2004 that, following a sale of 2,057,305
shares, it had reduced its holdings in the company to 5,979,860 shares
representing 2.33% of the issued share capital and that, as a consequence, it
no longer held a material interest in the company.
