Exercise of Options and Sale of Shares

 

On 14 April 2014, the Company was notified that on 11 April 2014 the following
Directors* and  Persons Discharging Managerial Responsibilities
`PDMRs', had exercised share options over ordinary shares of 17 3/11 p each in
the Company ("Ordinary Shares"), under the 2011 Bodycote Investment Plan at an
exercise price of £7.6975 per share.

The Company has also been notified on 14 April 2014 that the following
Directors* and Persons Discharging Managerial Responsibilities ("PDMRs") sold
ordinary shares of 17 3/11p in the Company ("Ordinary Shares"). The sales price
was £7.6776 per share.
