Co-investment Plan - Director/PDMRs conditional share awards
Bodycote announces that on 27 May 2015, in accordance with the rules of the
Bodycote Co-Investment Plan ("CIP"), the Company made Matching Share awards
over ordinary shares in the Company ("Ordinary Shares").
The awards noted below comprise a maximum conditional award of Ordinary Shares
of 17 3/11p each subject to the rules of the CIP and the applicable performance
targets. The awards only vest to the extent performance criteria is met in
2018. No payment was made for the grant of awards. Awards were made as follows:
