Directors' and PDMRs' share interests through employee benefit trust
The Company was notified on 8 May 2006 that the trustees of the Bodycote
International plc Employee Benefit Trust (`the Trust') had allocated 302,972
ordinary 10 pence shares in the Company pursuant to the rules of the Short Term
Stock Bonus Plan following upper quartile TSR performance by Bodycote during
2005 for the benefit of the following Directors or PDMRs:-

Under the rules of the Plan the shares awarded are held by the trustees until
March 2009 when they can be released to eligible employees and participants.
