Directors' and PDMRs' share interests
David Landless, Finance Director, notified the company today that he has
exercised 57,719 share options granted in September 2003 at 147.27p. Mr
Landless has sold 45,891 shares at 247.73p on the same day sufficient only to
cover the costs (e.g. tax, primary and secondary national insurance) associated
with exercising the options.
Mr Landless' beneficial interests in Bodycote shares have therefore increased
to 97,393 shares, which will be registered as follows:

Derek Sleight, Corporate Development Director, also notified the company today
that he has exercised 131,141 share options granted between May 2000 and
September 2003 at an average option cost of 159.7p. Mr Sleight has sold 131,141
shares at 247.73p on the same day.
Mr Sleight's beneficial interests in Bodycote shares are now therefore 138,173
shares, which are registered as follows:

In addition Mr Sleight has 32,085 options over ordinary shares exercisable

The Company has also been notified that the trustees of the Bodycote
International plc Employee Benefit Trust (`the Trust') had allocated 3,087
additional ordinary 10 pence shares in the Company pursuant to the rules of the
Deferred Share Bonus Plan for the benefit of the following directors and PDMRs.
The allocation of shares in the Trust takes into account the 2005 final
dividend paid on the ordinary share capital on 5 July 2006 and in respect of
which the Trust has waived dividend entitlement. The total number of shares now
allocated to each director or PDMR is also shown in the table.
