Directors' and PDMRs' share interests
Bodycote announces that the following initial conditional share awards have
been made under the Bodycote Incentive Plan which was approved by shareholders
at the AGM in May 2006. These awards comprise rights to acquire Bodycote shares
at nil cost and will vest in March 2010 subject to the relevant performance
targets being met.

Bodycote also announces that Mr Martyn Wilton, PDMR in respect of Bodycote's
North American Thermal Processing operations, today exercised 58,903 share
options granted in 1997 at 241.92p and which would otherwise have expired on 20
May 2007. He has also today sold 58,903 shares at 291.59p.
Following the sale Mr Wilton's beneficial share interests comprise 50,127
shares registered in his own name.
In addition Mr Wilton has 146,483 options over ordinary shares exercisable
between 26 April 2002 and 15 September 2013 at prices between 147p and 371p.
