Share interests of EBT, directors and PDMRs

Bodycote International plc announces that Lloyds TSB Offshore Trust Co. Ltd, as
trustee of the Bodycote International Employee Benefit Trust (`EBT'), in which
all executive directors and employees are potentially interested, purchased
199,463 shares at 292.875p on 30 May 2007. The trust now holds 1,387,926
Bodycote shares.

The Company was also notified by the trustee of the EBT that the following
PDMRs have now received ordinary shares through the Company's Deferred
Restricted Stock Bonus Scheme, as a result of annual cash bonus deferred from
2003: -

On 30 May 2007 the following directors and PDMRs purchased Shares all at

Awards of Matching Shares under the BSMP have also been made as set out below.
The BSMP was approved by shareholders at the AGM in May 2006. The awards
comprise a conditional award of shares subject to the rules of the Plan and the
applicable performance target. BSMP Matching share awards were made on 30 May
2007 under the BSMP to Directors and PDMRs as follows: -

Awards under the BSMP will vest in March 2010 subject to the relevant
performance target being met.

Gerry Higgins, Testing PDMR, notified the company today that on 30 May 2007 he
exercised 26,737 share options granted in September 2002 at 125.76p and 42,440
share options granted in September 2003 at 147.27 and sold 69,177 shares the
same day at 292.875p

Gordon Lawrence, Americas Testing PDMR, notified the company that today he has
exercised 16,042 share options granted in May 2000 at 231.42p and sold 16,042
shares the same day at 294.78p
