Circular regarding the change of Auditor
Capita's Board of Directors has appointed KPMG Audit Plc ("KMPG") as Auditor
for The Capita Group Plc.
As Ernst & Young LLP ("E&Y") had been the Group's Auditor since Capita's
floatation in 1984, the Board felt it was time to review the audit services
required to support Capita. In agreement with the Audit Committee, the Board
decided that it was appropriate to put the Capita Group audit out to
competitive tender and KPMG was successful in this process.
Pursuant to section 520(2) of the Companies Act 2006, a circular has today been
posted to the shareholders of the Company for information only in relation to
the statutory statement received from E&Y in connection with their resignation
as the Company's Auditor. The resignation follows the Company's competitive
process for the selection of an audit firm.
The circular and Auditors' statement are available on the Company's website (
www.capita.co.uk), in the `Downloads' section accessed via the top right of the
homepage, and will shortly also be available for inspection at the UK Listing
Authority's Document Viewing Facility, which is situated at:
