On 27 February 2014 Gillian Sheldon, Senior Independent Director of Capita plc
(the `Company'), purchased 1,000 Ordinary shares of 2 1/15p each in the Company
at a price of £11.59 per share. The transaction took place in London, United
Kingdom.

On 28 February 2014, the following transaction took place in relation to
Ordinary shares of 2 1/15p each in the Company in respect of the following
Directors of the Company:

Andy Parker, Gordon Hurst, Maggi Bell, Vic Gysin and Dawn Marriott-Sims

Grant of Options - Deferred Annual Bonus Plan ("DABP")

The Directors referred to above were awarded nil cost matching share awards
under the DABP, as follows:

Andy Parker: 56,130 Ordinary Shares

Gordon Hurst: 50,086 Ordinary Shares

Maggi Bell: 41,450 Ordinary Shares

Vic Gysin: 67,356 Ordinary Shares

Dawn Marriott-Sims: 17,270 Ordinary Shares
