Capita Board Update
Capita plc (Capita) today announces that Paul Pindar will retire from Capita
and step down as Chief Executive and from the Group Board with effect from 28
February 2014, after 26 years with the Company. Paul has played a key role in
Capita's successful growth since joining the Company in 1987, including 22
years as Managing Director and Chief Executive.
Paul is leaving Capita to establish a portfolio of private equity
opportunities, alongside his role as Non-Executive Chairman of Integrated
Dental Holdings. He hopes to use the skills and expertise that he has gained at
Capita to help small and medium sized organisations reach the next stage of
their growth.
In line with Capita's senior management succession plan, Andy Parker, the
Group's current Deputy Chief Executive and Joint COO, will succeed Paul as
Chief Executive from 1 March 2014. To ensure a seamless transition, Andy will
step down from his role as Joint COO from 1 January 2014, allowing him to fully
focus on his role as Deputy Chief Executive. Dawn Marriott-Sims, currently
Executive Director of Capita's Workplace Services division, will be appointed
to the Group Board and succeed Andy as Joint COO with effect from 1 January
2014.
Paul Pindar, Chief Executive, said:

growth and success is due to the commitment and team work of the Group Board,
the senior management team and all my colleagues across Capita. After 26 years
with the Company and approaching my 50th results presentation, I believe that
now is the right time to hand the reins over to Andy. I will be leaving Capita
with a strong management team and in excellent financial and operational shape
for further success in 2014 and beyond. Andy will bring a wealth of experience
to his new role as Chief Executive and I wish him and the whole Capita team all
the very best in taking the Company forward."

operational experience that she will bring to the team."

Notes for Announcement:
1. Paul Pindar will receive no payments for salary after his retirement on 28
February 2014 and no other payments in relation to his retirement. The
remaining Long Term Incentive Plans and the Co Investment Plan awards, at the
date of his retirement, will continue until their maturity, are subject to the
existing performance conditions, and will be pro rata reduced for the time
period post retirement. The Deferred Annual Bonus Plan matching award made in
2013 will lapse.
2. There is no additional information required to be disclosed pursuant to
paragraph LR9.6.13R of the Listing Rules of the Financial Conduct Authority for
Dawn Marriott-Sims.

4. Biographies:
Paul Pindar: Paul joined Capita in 1987 from 3i, after advising Capita on its
management buy-out and became Chief Executive in 1999. A Chartered Accountant,
Paul is responsible for managing and developing Capita's business to achieve
the Company's strategic objectives, and has overall responsibility for the
Company's charitable approach. In July 2012, Paul was appointed Non Executive
Chairman of Integrated Dental Holdings, the UK's largest chain of dental
surgeries, with a network of over 500 practices nationwide.
Andy Parker: Andy joined Capita in 2001 and was appointed to the Board as joint
COO in January 2011. He was appointed Deputy Chief Executive alongside his
duties as joint COO in June 2013. Paul oversees the majority of Capita's
non-financial services operations. He is a chartered accountant and has strong
operational, commercial and financial experience. Since joining Capita he has
held a number of senior roles across the Group, including Executive Divisional
Director of the ICT, health & business services division and spent three years
as Senior Divisional Finance Director. He has experience within the majority of
Capita's divisions and has been instrumental in developing our presence in
additional markets such as health, justice and the emergency services.
Previously, he led the commercial function at Phoenix IT Group across both
operations and major sales and held senior UK and international finance roles
at Misys PLC.
Dawn Marriott-Sims: Dawn has been with Capita for over 13 years and since June
2011 has held the position of Executive Director of Workplace Services where
she is responsible for the strategic direction, growth and development of the
division. Prior to this, Dawn was Managing Director of Capita Resourcing &
Development, and prior to that MD of Capita's IT Resourcing, Managed Services,
Internal Resourcing and Learning & Development businesses. Dawn has over 20
years' experience within the employee services sector including implementation
and development of major programmes and for securing and delivering services to
both public and private sectors clients. Dawn is on the main board of Institute
for Collaborative Working, a not for profit organisation.
