Results of Extraordinary General Meeting

Shareholders in Chesnara PLC today voted in favour of resolutions to acquire
the entire issued share capital of Irish Life (UK) Holdings plc and to issue
shares in relation to the placing and open offer of 18,333,333 New Shares in
connection with the acquisition. Admission of the New Shares is expected to
take place on 2 June 2005 and the acquisition is expected to be completed
shortly thereafter.
