DELAY IN DESPATCH OF CIRCULAR
REGARDING DISCLOSEABLE AND CONNECTED TRANSACTIONS

Reference is made to the announcement of the Company dated 2 November 2015 (the "Announcement") in relation to, amongst others, the Asset Transfer Agreements. Unless otherwise defined, capitalised terms used in this announcement shall have the same meanings as those defined in the Announcement.

As stated in the Announcement, a circular (the "Circular") containing details of the transfer of the Desulfurisation Assets and Denitrification Assets under the Asset Transfer Agreement, a letter from the independent board committee and a letter from the independent financial advisor of the Company, both advising the terms of the transfer of the Desulfurisation Assets and Denitrification Assets under the Asset Transfer Agreement, is expected to be despatched to the Shareholders on or before 23 November 2015.

As the Company requires additional time to finalise certain information for inclusion in the Circular, the despatch date of the Circular is expected to be postponed to a date falling on or before 4 December 2015.
