ANNOUNCMENT
FURTHER INFORMATION FOR PAYMENT
OF FINAL DIVIDENDS
Reference is made to the notice of the annual general meeting (the "AGM") of Datang
InternationalPower Generation Co., Ltd (the "Company") dated 25 April 2014
(the "Notice of AGM"), and the announcement of poll results of the AGM dated 12
June 2014 of the Company.
The proposal for the declaration of a final dividend of RMB0.12 (inclusive of tax)
per share for the year ended 31 December 2013 (the "Final Dividend"), amounting to
a total amount of RMB 1,597,200,000 approximately, was approved by the shareholders
at the AGM. As set out in the Notice of AGM, holders of H shares of the Company
whose names appear on the register of members of the Company on 25 June 2014 are
entitled to the distribution of the Final Dividend.
Pursuant to the articles of association of the Company (the "Articles"), Final
Dividend would be dominated and declared in Renminbi. Final Dividend for holders of
domestic shares will be paid in RMB, while Final Dividend for holders of H shares will
be paid in Hong Kong dollars. The exchange rate applicable to the calculation of the
Final Dividend payable in Hong Kong dollars is the average middle exchange rate of Hong
Kong dollar to Renminbi (HK$1.00 to RMB0.79402) during the calendar week prior to the
date of the AGM (12 June 2014, Thursday) as announced by The People's Bank of China.
Accordingly, the Final Dividend payable for each H share is HK$0.15113
(inclusive of tax).
The Company has appointed Bank of China (Hong Kong) Limited as the receiving agent
(the "Receiving Agent") which will receive the Final Dividend declared from the
Company on behalf of the holders of H shares. The Final Dividend will be paid by
the Receiving Agent on or before 8 August 2014 and the dividend warrants will be
posted by the H share registrar of the Company, Computershare Hong Kong Investor
Services Limited, by ordinary mail to the holders of H shares who are entitled
to receive the Final Dividend at their own risk.
