statements contained in, or material omissions from this announcement, and

This announcement is made pursuant to Rule 13.09(2) of the Rules Governing the 
Listing of Securities on The Stock Exchange of Hong Kong Limited.              

Datang International Power Generation Co., Ltd. (the "Company") has recently
received from the China Securities Regulatory Commission a "Reply on the
Approval of Non-public Offering of Shares by Datang International Power
Generation Co., Ltd." (CSRC Approval No. [2010]1842), which approves the
Company's non-public offering of no more than 1 billion new shares. Such reply
will remain valid for six months from the date of the approval of the offering.
The Board will complete the matters in connection with the non-public offering
of A shares as soon as possible in accordance with the requirements in the
aforesaid approval documents and the mandate granted at the general meeting of
the Company.
