ANNOUNCEMENT ON RESIGNATION OF
INDEPENDENT NON-EXECUTIVE DIRECTORS
The board of directors (the "Board") of Datang International Power Generation Co., Ltd. (the "Company") has
recently received the written resignation report from Mr. Dong Heyi, an independent non-executive director.
In accordance with the spirit of the "Opinions on Further Regulation on Party and Political Leaders and
Cadres Working Part-Time (holding office) in Enterprises" issued by the Organisation Department of the
CPC Central Committee, Mr. Dong Heyi tendered his resignation as an independent non-executive director
of the Company. The Board has also recently received the written resignation report from Mr. Li Hengyuan.
Mr. Li Hengyuan has been an independent non-executive director of the Company for a continuous term of
nearly 6 years, commencing from 30 May 2008. According to the "Guiding Opinions Concerning the Establishment
of the System of Independent Directors for Listed Companies" promulgated by the China Securities Regulatory
Commission, Mr. Li Henyuan's term of office shall expire soon, and he has therefore tendered his
resignation as an independent non-executive director of the Company.
Mr. Dong Heyi and Mr. Li Hengyuan have confirmed that each of them has no disagreement with the Board of
the Company, and there is no other matter that needs to be bought to the attention of the shareholders
and creditors of the Company. Pursuant to the relevant regulatory requirements, the resignation of
Mr. Dong Heyi and Mr. Li Hengyuan will only come into effect until the new independent directors are
elected at the general meeting of the Company. Prior to that, Mr. Dong Heyi and Mr. Li Hengyuan will
continue to perform their duties as an independent non-executive director.
The Board of the Company would like to express its sincere gratitude to Mr. Dong Heyi and Mr. Li Hengyuan
for their contribution to the Company during their tenure of directorship.
