RE: PARAGRAPH 3.1.4 OF DISCLOSURE RULES
Diageo plc (the 'Company') announces that it received notification on 5
September 2005, for the purposes of Section 324 of the Companies Act 1985, that
Bailhache Labesse Trustees Limited, as trustee of the Diageo Employee Benefit
Trust (the 'Trust'), had purchased 1,100,000 ordinary shares of 28 101/108
pence of the Company ('Ordinary Shares') on 2 September 2005 at an average
price of £8.183634 per Ordinary Share.
As a result of the above transaction the total holding of the Trust amounts to
7,373,210 Ordinary Shares.
Directors of the Company who are potential beneficiaries of the Trust are PS
Walsh and NC Rose.
