Further re Sale of ToLuna Plc

2 July 2012 Eurovestech plc ("Eurovestech" or the "Company") Further re. sale of investment in ToLuna Eurovestech is pleased to announce that following the conversion of all the outstanding loan notes issued by ITWP Acquisitions Limited ("ITWP"), in connection with its acquisition of ToLuna plc ("ToLuna") in April 2011, into ordinary shares of £0.01 each in the capital of ITWP ("ITWP Shares"), the Company is now interested in 16.5 per cent. of the issued share capital of ITWP, which owns the entire issued share capital of ToLuna. On 14 February 2011, Eurovestech announced that ToLuna, its largest investee company, had announced the terms of the acquisition of ToLuna by ITWP which was implemented by way of a scheme of arrangement under Part 26 of the Companies Act 2006 ("Scheme"). Under the terms of the Scheme, Eurovestech received consideration in the form of 1,051,828,838 ordinary shares of £0.01 each in the capital of ITWP ("ITWP Shares") and £35,000,000 in nominal value of B loan notes and £2,187,046.02 in nominal value of C loan notes to be issued by ITWP. On 23 June 2011, the Company announced that it had received £25 million in cash following the repayment of £25 million nominal of B loan notes. Under the terms of the Scheme any loan notes which remained outstanding at 30 June 2012 were to be compulsorily convertible into ITWP Shares, subject to conditions, at a rate of one ITWP Share for each 1 penny in nominal value of loan notes. At 30 June 2012, £10,000,000 in nominal value of B loan notes and £ 2,187,046.02 in nominal value of C loan notes to be issued by ITWP remained outstanding. Accordingly, Eurovestech has been issued with 1,218,704,602 ITWP Shares, which brings its total holding to 2,270,533,440 ITWP Shares, representing 16.5 per cent. of the issued share capital of ITWP.
