As at 30 June 2008, Finsbury Growth & Income Trust PLC's capital consists of
ordinary shares of 25p with voting rights. The total number of shares in issue
is 51,832,673. The Company has 964,750 shares in Treasury.

Therefore, the total number of voting rights in Finsbury Growth & Income Trust
PLC is 51,832,673.

The above figure (51,832,673) may be used by shareholders as the denominator
for the calculations by which they will determine if they are required to
notify their interest in Finsbury Growth & Income Trust PLC, or a change to their
interest in Finsbury Growth & Income Trust PLC, under the FSA's Disclosure and
Transparency Rules.
