                                 BOARD CHANGES                                 

FirstGroup plc ("The Group") announces the following Board changes.

Sidney Barrie, Commercial Director, has announced his intention to retire and
will step down from the Board at the end of March 2012.

Audrey Baxter has informed the Board of her intention to step down as
Independent Non-Executive Director on 31 December 2011. Audrey has chaired the
Remuneration Committee since July 2009 and will be succeeded as Chairman of the
Remuneration Committee by David Begg.

Martyn Williams, Non-Executive Employee Director, will retire from the Board on
31 December 2011 at the end of his term. Mick Barker, Employee Director at
First Capital Connect, will be appointed to the Board as Non-Executive Employee
Director on 1 January 2012.

Commenting on the Board changes, Martin Gilbert, Chairman, said:

"On behalf of the Board I would like to extend our sincere thanks to Sid,
Audrey and Martyn for the important contribution they have each made to the
Group.

"Sid has played a significant part in the success of FirstGroup over many
years. Having joined the Board in 2005 as Commercial Director he has had a long
association with the Group in an advisory capacity going back to the original
employee buy-out of GRT Bus Group PLC. We thank him for his considerable
contribution and wish him a long and happy retirement.

"I would like to thank Audrey for her support and advice since she joined the
Board in 2006. The Group has benefited from her valuable contribution and we
wish her every success for the future.

"Martyn Williams has served three terms as Employee Director with commitment,
integrity and professionalism. Over the past nine years he has consistently and
conscientiously represented employees over a period of time when the Group has
expanded considerably with many more staff. On behalf of the Board and the
entire Group I would like to thank Martyn for his significant contribution.

"I would also like to welcome Mick Barker to his new role as Employee Director.
I am confident that he will continue to provide the important input to the
Board on behalf of the Group's employees."
