Statement re Directors responsibilities

                        BOARD DIRECTOR RESPONSIBILITIES                        

We are pleased to announce that with immediate effect Dean Finch, Group Finance
Director, will assume the role of Chief Operating Officer - North America with
responsibility for all of our North American businesses. This will be a
temporary assignment for an anticipated period of 12 months during which time
Dean will lead all aspects of the integration of our acquisition of Laidlaw
International, Inc. and the delivery of the synergies of the enlarged North
American business.

In this new role Dean will remain on the Board of FirstGroup plc, and will
spend most of his time each month in the US. Therefore, during this period, he
will temporarily relinquish his role as Group Finance Director. Nick Chevis,
currently Group Financial Controller, will assume the position of Acting
Finance Director whilst Dean is seconded to this important role.

Commenting, Moir Lockhead, Chief Executive said: "This is an exciting phase in
the development of FirstGroup and this temporary assignment for Dean is
evidence of the Board's great confidence in his abilities. I congratulate him
on the appointment and know that he will accomplish the task of integrating the
Laidlaw business and preparing the way for the successful future development of
our enlarged North American business."
