                              Total Voting Rights                              

In conformity with the Disclosure and Transparency Rules, the Company advises
the market that as at 1 June 2014 its issued share capital comprised
1,204,926,756 ordinary shares of 5 pence each. The Company held 159,531
ordinary shares in treasury and the issued share capital of the Company which
carries voting rights of one vote per share comprised 1,204,767,225 ordinary
shares of 5 pence each (excluding treasury shares).

The above figure of 1,204,767,225 may be used by shareholders as the
denominator for the calculations by which they will determine if they are
required to notify their interest in, or a change to their interest in, the
Company under the Disclosure and Transparency Rules.
