GM Contributes 149.2 Million Shares of GM Class H Stock To Employee Benefit Plans NEW YORK, March 13 -- General Motors Corp. (NYSE: GM, GMH) today announced that it contributed 149.2 million shares of GM Class H common stock to certain of its U.S. employee benefit plans. The contribution was valued on behalf of the independent trustee of the employee benefit plans at approximately $1.24 billion. This valuation reflects a discount to the market value of the stock due to, among other things, various restrictions on the transfer of the shares provided for in the agreements between GM and the trustee. GM contributed an aggregate of 108.2 million shares of Class H stock to its U.S. Hourly Employees Pension Plan and its Salaried Employees Pension Plan and 41 million shares to its Voluntary Employees' Beneficiary Association (VEBA) Trust, a trust established principally to fund health-care and life- insurance benefits for GM's hourly retirees. The contribution is expected to strengthen GM's balance sheet and reduce operating expenses associated with GM's employee benefit plans in calendar year 2003. The contribution of these newly-issued shares increases the amount of GM Class H stock outstanding to about 1.1 billion and decreases GM's retained economic interest in its wholly-owned Hughes Electronics subsidiary to approximately 20 percent from 30.7 percent. The contribution also increases the amount of GM Class H stock held by GM's employee benefit plans and managed by United States Trust Company of New York to approximately 330 million shares. GM Class H stock is a common stock of General Motors designed to track the financial performance of Hughes.
