29 October 2014 Guscio PLC ("Guscio" or the "Company" or the "Group") Further subscription to raise £50,000 The board of Guscio (the "Board") is pleased to announce that, following further demand from an institutional investor, the Company has raised an additional £50,000, by way of a subscription for 945,179 new Ordinary Shares (the "Subscription Shares") at a price of 5.29 pence per share (the "Subscription Price"). In connection with the subscription, it is proposed that the Company will enter into a warrant instrument (the "Warrant Instrument") pursuant to which the Company will issue two new warrants for every three Ordinary Shares subscribed for. Accordingly, the Company will issue a total of 630,119 new warrants (the "New Warrants") pursuant to the Warrant Instrument. The New Warrants issued pursuant to the Warrant Instrument are exercisable at the Subscription Price of 5.29p per share and can be exercised at any time during the three year period from admission of the Subscription Shares to trading on AIM. The proceeds of the subscription will be used to increase the cash reserves of the Company, as the Board seeks to accelerate the implementation of Guscio's new investment strategy. It is expected that Admission will become effective and dealings in the Subscription Shares will commence on 4 November 2014. Following the issue of the Subscription Shares, and the issue of shares as announced on 8 October 2014, there will be 7,259,397 Ordinary Shares in issue. This number may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change in their interest in, the share capital of the Company. In addition, following the issue of the New Warrants, the Company will have warrants in issue over 4,955,229 ordinary shares.
