Hays plc Performance Share Plan ("PSP")
Following the adoption by shareholders of the PSP at an Extraordinary General
Meeting, held on 3 April 2007, the Remuneration Committee of Hays plc has
granted the following awards over ordinary shares in Hays plc ("Shares") to
Directors and Persons Discharging Managerial Responsibility (PDMRs):

These awards under the PSP will normally vest in September 2009 subject to
achievement of the performance criteria detailed in the circular to
shareholders dated 16 March 2007. The number of Shares stated above is the
maximum available to each director or PDMR on satisfaction in full of the
applicable performance criteria.
