Notification of Transfer of Shares out of Treasury
Hays plc (the "Company") announces that on 21 December 2006, it transferred a
total of 1,800,000 ordinary shares held by the Company in Treasury ("Treasury
Shares") to the Hays plc Employee Share Trust (the "Trust") for the
satisfaction of share awards and options held by employees under certain of the
Company's share schemes. 1,200,000 Treasury Shares were transferred at 125p per
share and the remaining 600,000 Treasury Shares were transferred for nil
consideration.
As a consequence of that transfer, the Company now has a total of 1,461,564,852
ordinary shares in issue and holds 102,531,714 Treasury Shares. The Trust now
holds 3,796,367 ordinary shares and, for the purposes of the Companies Act
1985, the executive directors of the Company are treated as being interested in
these shares.
